Transaction through which UMB Steel takes over assets of ArcelorMittal Hunedoara, officially concluded

The transaction by which ArcelorMittal Hunedoara is taken over by UMB Steel was officially concluded on Wednesday, with the signing of a closing document, which will serve as an addendum to the Asset Purchase Agreement (APA), according to a document consulted by AGERPRES.

"Further to the report dated 19.02.2026 and 14.04.2026, ArcelorMittal Hunedoara informs that it has reached a key moment in the planned sale of its assets to UMB Steel, following the announcement of the permanent closure of production at this site in October 2025. The Asset Purchase Agreement (APA) between the parties was concluded on February 14, 2026, and all conditions precedent necessary for the completion of the transaction have now been met. With all approvals obtained, the transaction was officially concluded today, 15 April, by the signing of a closing document, which will serve as an addendum to the APA. Under the terms of the agreement, the entire asset base of ArcelorMittal Hunedoara will be transferred to UMB Steel," the document states.

Approximately 20 employees out of the nearly 100 will remain with the company's legal entity, which will continue to operate.

ArcelorMittal Hunedoara currently has approximately 100 full-time employees. Upon closing of the transaction, most of them will be released and will receive severance payments in accordance with applicable internal regulations and policies.

"ArcelorMittal Hunedoara and UMB Steel are committed to ensuring a smooth and transparent transition for all stakeholders during the final stages of the process," the company's document, submitted to the BVB, also states.

ArcelorMittal Hunedoara's assets were taken over for the amount of 12.5 million euros (+applicable VAT). The transaction was approved by the company's shareholders by the Extraordinary General Meeting Decision of February 9, 2026.

On April 8, the Competition Council announced that it had authorized the transaction through which UMB Steel takes over the assets belonging to ArcelorMittal Hunedoara.

"Following the analysis, the Competition Council found that this operation does not raise significant obstacles to effective competition on the Romanian market or a substantial part of it and that there are no serious doubts regarding its compatibility with a normal competitive environment," a press release from the institution informs.

UMB Steel is part of the UMB group, owned by the Umbrarescu family. The UMB Group is active in fields such as: design and construction of roads and bridges, building construction, production of ferrous metals and concrete products for construction and electricity generation.

The assets of ArcelorMittal Hunedoara targeted by the transaction consist mainly of production equipment and installations, materials and inventories, as well as land and buildings related to the factory in Hunedoara County and certain real estate assets located outside it.
